SunPower Corp. (the “Company”) is unable to file, without unreasonable effort or expense, its Annual Report on Form 10-K for the year ended January 1, 2023 (the “Form 10-K”). The Company experienced unanticipated delays in compiling certain necessary information to complete its audit and to prepare a complete filing of its Form 10-K in a timely manner. The Company is expected to file the Form 10-K within the prescribed period provided by Rule 12b-25.
